The Role:

Kapsch TrafficCom is seeking an experienced In-House Counsel. This role will be located hybrid/in office in Duluth, Georgia.

The In-House Counsel will provide advice, counsel, training regarding legal requirements, best practices, and strategies for managing risk in order to mitigate the company’s legal exposure. The Counsel will draft, review, negotiate, and manage legal agreements relating to the company’s Electronic Toll Collection (ETC) and Intelligent Transportation Systems (ITS) businesses. Agreements will include among others MOU(s), NDA(s), teaming agreements, subcontractor agreements, consultancy agreements, services agreements, vendor agreements, and technology licensing agreements.

Responsibilities:

  • Assisting with corporate governance and drafting and vetting corporate resolutions

  • Assisting with resolution of customer, partner or vendor issues escalated from various corporate departments

  • Assisting in developing standard contracting materials and processes, including organization and publication of same, for the business

  • Assisting in education of, and acting as a liaison to, sales staff and customer relationship managers with respect to legal department matters

  • Maintaining bar registration in all jurisdictions of office locations and attendance of minimum continuing legal education coursework as required by state bars and the corporation

  • Identifying and raising business risk issues to the management team

What we are looking for:

  • Bachelor’s degree or equivalent, as well as a JD or equivalent

  • Minimum of 5 years of post-bar attorney experience with at least 3 years in a law firm environment. 

  • Relevant in-house experience should include negotiating, drafting and reviewing contracts and customer requests for proposals; risk management & insurance; knowledge of US contract law as it applies to all types of commercial arrangements including teaming, non-disclosure, and customer agreements.

Our top Candidates will have:

  • Litigation and strong transactional experience, highly preferred

  • Knowledge of or experience with Canadian legal processes
